Terms of Service

1. Definitions
- “Service” means the hisaab.ai web application, APIs, mobile apps, integrations, and documentation.
- “You”, “Customer” means the individual creating the account or the firm on whose behalf the account is created.
- “Customer Data” means data you upload, generate, or transmit through the Service, including your clients' documents.
- “DPA” means our Data Processing Agreement, which is incorporated by reference.
2. Eligibility & account
You must be at least 18 years old, legally competent to contract, and act in good faith. If you sign up on behalf of a firm, you represent that you have authority to bind that firm.
You are responsible for keeping your credentials secret, for all activity on your account, and for notifying us promptly of any unauthorised access at security@hisaab.ai.
3. Permitted use
You may use the Service to:
- Operate your CA practice and serve your own clients.
- Store, process, and analyse documents you are lawfully entitled to handle.
- Generate working papers, reconciliations, returns, and notice replies for your engagements.
4. Acceptable-use policy
You agree not to:
- Upload content you do not have the right to process, or that violates the privacy or confidentiality rights of any person.
- Use the Service to engage in tax evasion, fabrication of records, or any act prohibited by Indian law.
- Attempt to defeat usage limits, share access credentials, or resell the Service without our written consent.
- Reverse-engineer, scrape, or attempt to extract source code, model weights, or proprietary prompts.
- Upload malware, attempt to exploit vulnerabilities, or interfere with other tenants.
- Use the Service to send unsolicited bulk communications.
We may suspend or terminate access immediately if we reasonably believe you are violating this policy or creating risk to other customers.
5. Subscription, billing & taxes
Pricing will be published at /pricing ahead of public launch and shared in writing as part of any custom contract. Subscriptions renew automatically until cancelled. Fees are exclusive of GST, which we will charge at the applicable rate against a tax invoice carrying our GSTIN.
For founding-member offers, the free period stated at signup applies; standard pricing takes effect after that period.

7. Intellectual property
We own the Service, including all underlying software, models, prompts, agent designs, UI, and documentation. You own your Customer Data. You grant us a worldwide, non-exclusive licence to host, transmit, and process Customer Data solely as needed to provide the Service and as governed by the DPA.
You may not remove our copyright or branding from generated working papers without our consent.
8. AI-generated output
The Service uses large language models. Outputs are professional aids, not professional advice, and you remain responsible — as a Chartered Accountant — for the correctness of any return, working paper, or response you sign and file. Hallucination, mis-extraction, and mis-classification are possible; you must independently verify material figures.
9. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own. Customer Data is treated as your confidential information.
10. Warranties & disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” and we disclaim all other warranties to the maximum extent permitted by Indian law.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenue, or data. Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim.
Nothing in this section limits liability that cannot be limited under Indian law, including liability for gross negligence, wilful misconduct, or breach of confidentiality obligations.
12. Indemnity
You will indemnify us from third-party claims arising out of (a) your violation of this acceptable-use policy or any applicable law, or (b) content you upload that infringes third-party rights. We will indemnify you from third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes a third party's intellectual-property right under Indian law.
13. Term & termination
You may close your account at any time from Settings → Account → Close account. We may terminate or suspend access for material breach if not cured within 30 days of notice. On termination, we will export your data on request and delete it per the Privacy Policy and Data Retention Schedule.
14. Suspension for risk
We may suspend the Service or specific features without notice if we reasonably believe continued operation poses a security, legal, or stability risk to us or other customers. We will restore access as soon as the risk is mitigated.
15. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Bengaluru will have exclusive jurisdiction, subject to mandatory arbitration under the Arbitration and Conciliation Act, 1996 if either party so elects for disputes exceeding ₹10,00,000 in value.
16. Changes
We may update these Terms by giving you at least 14 days' notice via email and in-product. Continued use after the effective date constitutes acceptance. If you object, you may stop using the Service before the effective date and request a pro-rata refund.
